These policies are intended to be read in conjunction with applicable laws of India, including (as amended from time to time) the Information Technology Act, 2000 and rules thereunder, the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, as well as any other sector-specific regulations that may apply. This text is for general informational purposes only and is not a substitute for independent legal advice.

1. Introduction and Acceptance

Welcome to Koovira (the "Platform"), operated and controlled by TRISHARA VENTURES LLP ("Company", "we", "us", "our"). These Terms & Conditions ("Terms") constitute a legally binding agreement between you and TRISHARA VENTURES LLP governing your access to and use of the Platform, including all websites, mobile applications, features, content, tools, and services offered under the Koovira brand (collectively, the "Services").

By accessing, registering with, or using the Platform in any manner, including but not limited to visiting or browsing the Platform, clicking "I Agree", or otherwise affirming your acceptance electronically, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, and all other policies and guidelines that we may publish on the Platform from time to time.

If you do not agree with these Terms or any part thereof, you must immediately discontinue any use of the Platform and Services.

2. Nature of the Platform and Services

Koovira is a multi-vertical digital ecosystem designed to help users discover, list, search, compare, and interact in relation to a wide variety of offerings and opportunities, including but not limited to local services and business listings, jobs and recruitment opportunities, real estate listings, hotel and accommodation bookings, cab and ride services, e-commerce product listings, events and experiences, social networking, dating, and matrimonial introductions (collectively, "Partner Services").

Unless expressly stated for a specific service, Koovira primarily acts as an online intermediary / marketplace as understood under the Information Technology Act, 2000 and applicable rules. Koovira does not ordinarily own, control, create, sell, resell, provide, manage or supply the underlying goods or services offered by third-party sellers, service providers, employers, landlords, drivers, hotels or other partners (collectively, "Partners").

Any contract for goods or services or any other arrangement you enter into through the Platform is a contract directly between you and the respective Partner, unless otherwise specifically stated by Koovira in writing.

3. Eligibility and Account Registration

To use the Platform, you must be at least 18 years of age and have the legal capacity to contract under Indian law. If you register or use the Platform on behalf of an organisation, you represent that you are duly authorised to bind that organisation to these Terms.

When you create an account, you agree to provide accurate, current, and complete information and to keep such information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorised use of your account or any other breach of security.

4. User Conduct and Prohibited Activities

You agree to use the Platform only for lawful purposes and in accordance with these Terms and all applicable laws. Without limiting the generality of the foregoing, you agree that you will not:

• post, upload, transmit or share any content that is illegal, harmful, defamatory, obscene, pornographic, paedophilic, invasive of privacy, hateful, or otherwise objectionable under Indian law;
• infringe any intellectual property or other proprietary rights of any person or entity;
• engage in fraudulent, misleading or deceptive practices, including fake profiles, listings or reviews;
• use the Platform for gambling, betting, money laundering, terrorism financing or other prohibited activities;
• upload or transmit any viruses, worms, malware or other malicious code;
• attempt to gain unauthorised access to any portion of the Platform or any related systems;
• use automated scripts or bots to access, scrape, or interact with the Platform without our prior written consent;
• collect or harvest any personally identifiable information of other users without their consent;
• engage in any activity that, in our reasonable opinion, harms or is likely to harm Koovira, TRISHARA VENTURES LLP, its employees, Partners or other users.

5. Role of Koovira in Partner Interactions

You understand that Koovira provides tools and infrastructure to facilitate connections and transactions between users and Partners, but does not guarantee the existence, quality, safety, suitability, legality or performance of any Partner Services, nor does it guarantee the conduct of any user or Partner.

You acknowledge that you are solely responsible for assessing the risks arising from any interactions with Partners and for conducting appropriate due diligence, including verifying identities, credentials and suitability for your requirements.

6. Fees, Payments and Taxes

Some features and services on the Platform may be subject to fees or charges. Before you complete a transaction, we will display or otherwise make available the applicable prices, fees and any other charges. By confirming a transaction, you agree to pay all such amounts.

Payments are processed by third-party payment service providers and are subject to their terms and conditions as well as applicable RBI regulations. Koovira is not responsible for any errors or delays caused by such third parties, provided that we have taken reasonable care in selecting them.

You are responsible for all applicable taxes, duties and levies in relation to your use of the Platform, save and except those taxes required to be paid by Koovira under applicable law.

7. Content and Intellectual Property

You retain ownership of any content (including text, photos, videos, listings, reviews and communications) that you submit or post on the Platform ("User Content"). By providing User Content, you grant Koovira and TRISHARA VENTURES LLP a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation and promotion of the Platform.

All intellectual property in the Platform itself—including design, layout, trademarks, logos and underlying software—is owned or licensed by TRISHARA VENTURES LLP. You receive a limited, revocable, non-exclusive, non-transferable licence to use the Platform for personal or internal business purposes, subject to these Terms.

8. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform and Services are provided on an "as is" and "as available" basis, without any warranties, express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected.

9. Limitation of Liability

To the fullest extent permitted by law, in no event shall Koovira, TRISHARA VENTURES LLP, its partners, employees, agents or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of or inability to use the Platform or Services, or any interactions with Partners.

Without prejudice to the foregoing, and to the extent we are found liable under applicable law, our aggregate liability to you for all claims shall be limited to the lower of (a) the total amount you actually paid to Koovira (excluding amounts paid to Partners) in the three (3) months preceding the event giving rise to the claim, or (b) INR 10,000 (Indian Rupees Ten Thousand only).

10. Indemnity

You agree to indemnify, defend and hold harmless Koovira, TRISHARA VENTURES LLP and their respective partners, officers, employees and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Platform or Services; (b) your breach of these Terms or any applicable law; or (c) your violation of any rights of any third party.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to any mandatory provisions of consumer law, you agree that the competent courts at Dehradun, Uttarakhand, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, your use of the Platform, or the Services.

12. Changes to These Terms

We may modify or update these Terms from time to time to reflect changes in our Services, legal or regulatory requirements, or for business or security reasons. Updated Terms will be posted on the Platform with an updated "Last Updated" date, and where required, additional notice or consent may be sought. Your continued use of the Platform after such changes constitute your acceptance of the updated Terms.
