This document is a legally binding agreement governing use of Koovira and all services operated by Trishara Ventures LLP. Effective date: 05/06/2026.
1. Introduction and Acceptance
Legal entity
Trishara Ventures LLP owns, operates and manages Koovira, including its website, mobile applications, APIs, software, dashboards, merchant tools, partner tools, user services, business services and all related digital infrastructure.
Effective date
These Terms are effective from 05/06/2026 and remain applicable until replaced, modified, withdrawn or superseded by Trishara Ventures LLP.
Binding agreement
By accessing, browsing, registering, logging in, creating a profile, posting content, listing products or services, applying for jobs, communicating with users, making payments, accepting orders, booking services, using APIs or using any feature of Koovira, you agree to be legally bound by these Terms.
Electronic acceptance
By clicking “Accept”, “Register”, “Continue”, “Verify”, “Submit”, “Apply”, “Post”, “Publish”, “Book”, “Order”, “Pay”, “Join” or any similar electronic action, you provide valid electronic consent and acknowledge that such action constitutes binding acceptance under applicable law, including Section 10A of the Information Technology Act, 2000.
Applicability
These Terms apply to visitors, registered users, customers, merchants, sellers, service providers, employers, recruiters, property owners, property agents, developers, drivers, delivery partners, logistics partners, franchisees, ROP partners, city associates, advertisers, administrators and any other person using Koovira.
Additional policies
These Terms shall be read together with the Privacy Policy, Refund and Cancellation Policy, Community Guidelines, Merchant Policy, Service Provider Policy, Wallet Policy, Trust Score Policy, API Policy, Grievance Policy and all module-specific policies published by Koovira.
2. Definitions
Platform
“Platform” means Koovira, including all websites, applications, APIs, dashboards, modules, software, features, services, content, tools and systems made available by Trishara Ventures LLP.
User
“User” means any individual, company, firm, partnership, merchant, service provider, partner or entity accessing or using the Platform in any capacity.
Content
“Content” includes text, images, videos, audio, documents, reviews, ratings, endorsements, listings, resumes, messages, advertisements, profile information, business information and any other material uploaded, generated, transmitted or submitted through the Platform.
Services
“Services” include social networking, professional networking, dating and matrimonial, real estate, marketplace, classifieds, food ordering, jobs, recruitment, hyperlocal services, cab booking, courier, logistics, movers and packers, hotels, events, travel, business directory, payments, wallet, escrow, AI tools, trust scoring, endorsements, negotiation tools, APIs and future services.
Applicable law
“Applicable law” means all laws, rules, regulations, notifications, directions and orders applicable in India, including the Information Technology Act, 2000, Information Technology Rules, Intermediary Guidelines, DPDP Act, Consumer Protection Act, E-Commerce Rules, Indian Contract Act, tax laws, payment rules and sector-specific laws.
3. Eligibility and Account Registration
Legal capacity
You must be legally competent to enter into a binding contract under the Indian Contract Act, 1872.
Age requirement
Services meant for adults, including dating, matrimonial, employment, wallet, payment, merchant onboarding and legally sensitive modules, may be restricted to users who are 18 years or older.
Account information
You agree to provide true, accurate, current and complete information during registration, profile creation, KYC, business onboarding, listings, bookings, applications, transactions and support interactions.
Account security
You are responsible for maintaining confidentiality of your password, OTP, PIN, device access, API key, login credentials and account activity.
Unauthorized use
You must immediately notify Koovira if you suspect unauthorized access, account misuse, fraud, security breach, identity compromise or unlawful activity.
Profile segregation
Koovira may provide separate Social, Professional, Dating, Merchant, Service Provider, Business and other specialized identities. Such identities may operate independently for privacy, safety, trust, security and operational purposes. Users acknowledge that visibility, permissions, trust indicators, profile information and interactions may differ between modules.
4. Verification, KYC and Compliance Checks
Verification
Koovira may require mobile verification, email verification, identity verification, PAN, GST, business registration, address proof, bank verification, location verification, staff verification or other lawful checks where required or permitted by law.
Risk based checks
Verification requirements may vary based on service type, transaction value, fraud risk, complaint history, trust indicators, merchant status, regulatory obligations, payment activity, booking activity, property activity or other platform risk factors.
No guarantee
Verification badges, KYC status, merchant approval, service provider approval or trust indicators do not guarantee honesty, quality, solvency, legal title, professional ability, relationship intention, product quality, service capability or future conduct.
False documents
Submission of forged, altered, stolen, misleading, expired or unauthorized documents is prohibited and may result in suspension, termination, reporting to authorities and legal action.
Ongoing checks
Koovira may conduct periodic, automated, manual, risk-based or event-triggered checks for fraud prevention, legal compliance, dispute handling, platform safety and user protection.
5. Permitted Use and User Obligations
Lawful use
You shall use the Platform only for lawful purposes and in accordance with these Terms, applicable Indian laws, platform policies and module-specific rules.
Accurate dealings
You must provide accurate information in profiles, listings, advertisements, job posts, property posts, service details, product descriptions, pricing, delivery timelines, tax details, transaction records and communications.
Independent responsibility
You are responsible for your conduct, communications, listings, representations, commitments, safety, tax obligations, regulatory permissions, business licenses and compliance duties.
Cooperation
You agree to cooperate with Koovira in relation to fraud investigation, account verification, dispute resolution, safety checks, payment issues, legal requests, grievance handling and lawful compliance.
International access
Users accessing the Platform from outside India do so at their own risk and are responsible for compliance with local laws applicable to them.
6. Prohibited Conduct
Fraud and misuse
You must not use the Platform for fraud, cheating, impersonation, phishing, fake orders, fake bookings, fake employment offers, fake property listings, fake reviews, fake endorsements, money laundering, unlawful gain or any activity prohibited by law.
Security abuse
You must not hack, bypass security, scrape data, reverse engineer, overload servers, use bots, exploit bugs, misuse APIs, bypass rate limits, interfere with Platform operation or attempt unauthorized access.
Harassment
You must not threaten, abuse, stalk, harass, blackmail, defame, intimidate, exploit, discriminate against or harm any user, employee, merchant, service provider, partner or third party.
Illegal content
You must not upload or share content that is unlawful, obscene, pornographic, paedophilic, defamatory, hateful, racially or ethnically objectionable, invasive of privacy, harmful to children, misleading, infringing, violent, malicious or otherwise prohibited under applicable law.
Child safety
Users shall not upload, distribute, promote, request, store, transmit or facilitate content that exploits, harms, endangers or violates the rights of children. Koovira may immediately remove such content, suspend associated accounts and cooperate with competent authorities.
Manipulation
You must not manipulate ratings, reviews, endorsements, rankings, trust scores, search results, referrals, cashback, promotions, negotiations, disputes, wallet credits or platform incentives.
7. User Content, Reviews and Communications
User responsibility
You are solely responsible for all Content submitted, posted, uploaded, transmitted, listed, published or communicated by you through the Platform.
Content license
You grant Trishara Ventures LLP a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, process, transmit, distribute, adapt, moderate and use your Content for operating, improving, promoting and securing the Platform.
Moderation rights
Koovira may review, classify, label, restrict, hide, remove, preserve or disable access to Content for policy, safety, legal, fraud, security, grievance, user protection or operational reasons.
Private communications
Messages, chats, calls, support tickets, reports and communications may be subject to automated or manual review where required for safety, fraud detection, abuse prevention, dispute resolution, legal compliance or user protection.
No endorsement
User Content does not represent the opinion, advice, approval, verification, representation or endorsement of Trishara Ventures LLP.
8. Trust Score, Endorsements, Reviews and Ratings
Trust indicators
Trust Score, Koovira Credit Score, endorsements, reviews, ratings, verification badges, activity history, transaction history and reputation indicators are informational tools intended to assist users in evaluating platform participants.
No certification
Trust indicators do not constitute financial ratings, credit ratings, legal certifications, professional opinions, character certificates, guarantees or endorsements by Trishara Ventures LLP.
No guarantee
Koovira does not guarantee identity, honesty, conduct, safety, financial capacity, legal title, service quality, delivery ability, professional skill, relationship compatibility, merchant solvency or future behaviour of any person or entity.
User judgment
Users must independently evaluate persons, sellers, merchants, employers, recruiters, agents, developers, properties, services, listings and business opportunities before proceeding.
Score changes
Trust indicators may change based on account activity, verification, transaction history, endorsements, disputes, cancellations, complaints, fraud signals, moderation history and other platform factors.
Abuse control
Koovira may remove, reduce weight, suppress, recalculate, suspend, reset or investigate ratings, reviews, endorsements and scores suspected to be fake, paid, abusive, misleading, manipulated or unlawful.
9. Marketplace, Ecommerce and Classifieds
Platform role
Koovira may act as an online marketplace, technology intermediary, discovery platform, transaction facilitator, listing platform or service aggregator depending on the module and transaction type.
Seller responsibility
Sellers and merchants are responsible for product quality, description accuracy, pricing, inventory, warranties, packaging, delivery commitments, returns, invoices, taxes, product safety, legal metrology and legal compliance.
Buyer responsibility
Buyers must review product details, seller information, delivery terms, cancellation terms, warranty terms, payment obligations and applicable charges before placing an order.
Restricted goods
Counterfeit, stolen, unsafe, illegal, prohibited, restricted, infringing, hazardous, regulated or unauthorized goods and services may not be listed without lawful authorization.
E-Commerce Rules
Merchants and sellers must comply with applicable consumer protection, e-commerce, legal metrology, tax, product safety, advertising, packaging, disclosure, grievance and refund obligations under Indian law.
10. Payments, Wallet, Credits, Cashback and Escrow
Payment processing
Payments may be processed through banks, payment gateways, UPI, wallets, card networks or third-party payment service providers, subject to their respective terms and applicable payment regulations.
Wallet and credits
Wallet balance, referral credits, cashback, promotional credits, reward points and non-withdrawable credits may be subject to separate validity, usage, refund, reversal, expiry and forfeiture rules.
No banking service
Koovira is not a bank, NBFC, deposit-taking institution, credit rating agency, insurance provider, investment adviser or financial product provider.
Escrow or hold
Koovira may hold, release, reverse, refund, freeze, adjust or dispute transaction amounts according to platform rules, fraud checks, delivery status, service completion, dispute outcomes, chargebacks and legal requirements.
Chargebacks
Users are responsible for unauthorized chargebacks, payment disputes, failed payments, penalties, gateway charges, recovery costs, taxes and losses arising from misuse, breach, fraud or false claims.
11. Refunds, Cancellations, Negotiations and Disputes
Policy based
Refunds, cancellations, replacements, returns, reversals, penalties and compensation shall be governed by the applicable module policy, seller policy, service provider policy, payment provider rules and applicable law.
No automatic refund
Submission of a complaint, cancellation request, return request or dispute does not automatically guarantee refund, reversal, replacement, compensation or payment release.
Evidence
Koovira may require photographs, videos, invoices, delivery proof, chat records, OTP records, location records, service reports, inspection reports or other evidence to process disputes.
Negotiation tools
Negotiation tools, quotations, counter offers, price discussions, estimated pricing and proposal exchanges are communication facilities only. No transaction shall be deemed completed until accepted by the relevant parties and applicable payment, booking or confirmation requirements are fulfilled.
Administrative decision
Koovira may make platform-level administrative decisions for payment release, refund, reversal, penalty, suspension, moderation or dispute closure based on available records and applicable policies.
12. Real Estate Services
Listing role
Koovira may provide property discovery, listing, endorsement, communication, lead generation, verification assistance, negotiation tools and marketplace features.
No title guarantee
Koovira does not guarantee title, ownership, possession, RERA status, approvals, encumbrances, valuation, construction quality, delivery timeline, rental legality or legality of any property unless expressly stated in writing.
User due diligence
Buyers, tenants, investors and users must independently verify documents, title, approvals, ownership, possession, valuation, tax dues, legal status, physical condition and transaction risks before proceeding.
Agent and developer duties
Agents, owners, land owners and developers must provide accurate, lawful and non-misleading property information and comply with applicable real estate, RERA, consumer protection, taxation and advertising laws.
13. Jobs, Recruitment and Professional Services
No employment guarantee
Koovira does not guarantee employment, interviews, hiring, salary, promotion, candidate quality, employer conduct, background accuracy or recruitment outcomes.
Candidate duty
Candidates must provide truthful resume, education, experience, skills, salary, identity, portfolio, background and eligibility information.
Employer duty
Employers and recruiters are responsible for job accuracy, lawful hiring, workplace compliance, interview conduct, payment of wages, worker safety, employment terms and statutory obligations.
Psychometric and AI tools
Resume scores, psychometric analysis, employability scores, AI matching and recommendations are indicative tools and must not be treated as final professional, psychological, medical, legal or hiring advice.
14. Dating, Matrimonial and Personal Connections
Introduction platform
Koovira provides technology tools for discovery, communication and introduction between users and does not act as a guarantor, matchmaker, investigator or relationship adviser.
No relationship guarantee
Koovira does not guarantee identity, marital status, education, employment, family background, financial status, intentions, compatibility, marriage, relationship outcome, offline conduct or personal safety.
User caution
Users must exercise caution before sharing personal information, intimate content, money, documents, location, travel plans or meeting another user offline.
Adult responsibility
Dating and matrimonial services are intended for legally eligible adults. Misrepresentation of age, relationship status, identity or intent is prohibited.
15. Food, Hotels, Travel, Events and Bookings
Partner responsibility
Restaurants, hotels, event organizers, travel partners and booking partners are responsible for service quality, availability, safety, hygiene, licenses, taxes, customer disclosures and fulfilment.
Availability
Prices, rooms, tickets, menus, slots, offers, delivery timelines, service windows, inclusions and availability may change and may be subject to confirmation by the relevant partner.
User duty
Users must verify booking details, cancellation rules, check-in requirements, event rules, travel documents, safety conditions, age restrictions, identity requirements and applicable charges before confirming bookings.
No guarantee
Koovira shall not be responsible for third-party service failure, denial of entry, force majeure, partner misconduct, hygiene issues, travel disruption, event postponement or partner cancellation except as required by applicable law.
16. Hyperlocal Services, Cab, Courier, Logistics and Movers
Service provider role
Service providers, drivers, delivery partners, courier partners, packers, movers and logistics operators are independent service participants unless expressly stated otherwise.
Safety and legality
Service providers are responsible for licenses, permits, insurance, vehicle condition, staff conduct, labour compliance, safety standards, background checks where applicable and lawful service delivery.
User responsibility
Users must provide accurate pickup, delivery, address, contact, item, inventory, access, service requirement, weight, quantity, packaging and schedule information.
Restricted items
Users must not send illegal, hazardous, prohibited, stolen, perishable, regulated, restricted, dangerous or falsely declared items without lawful authorization and disclosure.
Damage claims
Damage, loss, delay, theft, breakage or service claims may require evidence and shall be handled under applicable service, logistics, courier, partner or insurance policies.
17. Merchants, Service Providers, Business Users and Partners
Business compliance
Business users must maintain valid registrations, licenses, tax registrations, GST details, bank details, staff authorization, product permissions and legal permissions required for their activities.
Customer obligations
Merchants and service providers must honour confirmed orders, bookings, warranties, refunds, invoices, service quality, delivery commitments, safety obligations and customer commitments.
Platform fees
Koovira may charge subscription fees, commission, platform fees, convenience fees, payment gateway charges, lead fees, promotion fees, API fees, settlement fees or other charges as notified.
Settlement
Settlements may be subject to deductions, refunds, chargebacks, penalties, taxes, disputes, fraud holds, reconciliation checks, gateway delays and legal holds.
Taxes
Users, merchants, service providers and partners are solely responsible for payment of applicable taxes, duties, levies, GST, TDS, TCS and statutory obligations arising from their activities on the Platform.
18. ROP, Franchisee, City Associates and Territory Partners
Separate agreement
Regional operating partners, franchisees, city associates, state associates and territory partners may be governed by separate written agreements in addition to these Terms.
No ownership transfer
No partner receives ownership of Koovira, software, data, trademarks, users, goodwill, domains, intellectual property or platform infrastructure unless expressly agreed in writing.
Compliance duty
Partners must comply with local operations, customer service, tax, billing, settlement, reporting, confidentiality, data protection, territory obligations, training and platform instructions.
Termination
Trishara Ventures LLP may suspend or terminate partner access for breach, fraud, non-payment, misconduct, misuse of data, reputational harm, legal risk, non-performance or violation of operational standards.
19. APIs, Integrations and Developer Access
API access
Koovira may provide API keys, integration tools, webhooks, import tools, export tools, merchant developer features and third-party sync features.
Restrictions
Users must not misuse APIs, exceed rate limits, expose API keys, extract unauthorized data, violate privacy rules, bypass permissions, connect malicious systems or use integrations for unlawful purposes.
Suspension
Koovira may limit, revoke, rotate, throttle, suspend or audit API access for security, abuse, non-payment, system stability, legal compliance, fraud prevention or operational reasons.
Third-party platforms
Integrations with Shopify, WooCommerce, marketplaces, payment gateways, courier partners, analytics providers, communication providers or external systems are subject to third-party terms, permissions and availability.
20. Artificial Intelligence and Automated Tools
AI assisted functions
Certain services may utilize artificial intelligence, machine learning, fraud detection systems, moderation systems, recommendation engines, employability assessments, psychometric analysis, trust indicators, analytics, predictive tools and automated risk assessment.
AI output
AI-generated recommendations, moderation signals, fraud scores, trust scores, resume analysis, psychometric insights, matching, pricing suggestions, demand forecasts and summaries may be incomplete, inaccurate or context-dependent.
No professional advice
AI output does not constitute legal, financial, medical, investment, psychological, tax, real estate, employment, safety or professional advice.
Human judgment
Users must independently verify important information before relying on AI output or automated decisions. AI outputs may be reviewed, corrected, overridden or modified by Koovira.
Safety controls
Koovira may use automated systems for moderation, abuse detection, spam prevention, fraud control, quality ranking, trust indicators, risk monitoring and policy enforcement.
21. Privacy, Data Protection and Consent
Data processing
Koovira may collect, store, process, use, disclose and share personal data as described in its Privacy Policy and as permitted under applicable law.
DPDP compliance
Koovira endeavors to process personal data in accordance with the Digital Personal Data Protection Act, 2023 and applicable privacy laws. Users may exercise available rights through designated privacy and grievance mechanisms, subject to lawful retention obligations and technical feasibility.
Consent management
Where required, consent records may be stored and managed electronically. Users may withdraw optional consent subject to lawful retention obligations, technical limitations, security requirements and ongoing contractual requirements.
User rights
Users may request access, correction, deletion, grievance redressal, consent withdrawal or other rights available under applicable law, subject to identity verification and lawful retention requirements.
Retention
Koovira may retain records, logs, transaction data, consent records, complaints, security events, legal records and audit records as required for compliance, disputes, fraud prevention, financial records and lawful business purposes.
22. Intellectual Property
Ownership
All trademarks, logos, trade names, software, source code, designs, databases, layouts, icons, graphics, documentation, algorithms, workflows, policies and Platform materials belong to Trishara Ventures LLP or its licensors.
Limited license
Users receive a limited, revocable, non-exclusive, non-transferable permission to use the Platform strictly in accordance with these Terms.
Restrictions
Users must not copy, sell, rent, modify, distribute, reverse engineer, decompile, frame, mirror, scrape, reproduce or commercially exploit Platform materials without written permission.
IP complaints
Copyright, trademark or intellectual property complaints may be submitted to support@koovira.com with supporting documents and ownership details.
23. Advertisement, Promotions and Referral Programs
Promotions
Koovira may offer discounts, cashback, credits, referral benefits, scratch cards, coupons, sponsored listings or promotional campaigns subject to specific conditions.
Modification
Koovira may modify, withdraw, limit, suspend, reverse or cancel promotional benefits in case of expiry, misuse, technical error, fraud, abuse, legal risk or business requirement.
No cash right
Promotional credits may not be redeemable for cash unless expressly permitted by Koovira.
Sponsored content
Sponsored listings, advertisements and promoted content may appear on the Platform and are subject to applicable disclosure, advertising, consumer protection and platform rules.
24. Platform Availability, Security and Records
Availability
Koovira is provided on an “as is” and “as available” basis. Continuous, error-free, uninterrupted, secure or fully compatible operation is not guaranteed.
Maintenance
Koovira may suspend or limit access for maintenance, updates, security issues, legal compliance, server load, technical failure, abuse prevention, data migration or business reasons.
Security controls
Koovira may use access controls, encryption, audit logs, device monitoring, rate limits, CAPTCHA, session controls, fraud detection, anomaly detection, security alerts and other reasonable security measures.
Electronic records
Users agree that logs, OTP records, consent records, clickwrap acceptance, emails, SMS, notifications, invoices, transaction records, device records, IP records and electronic communications may be used as electronic records under applicable law.
CERT-In and security
Koovira may preserve, report or share security incident information where required under applicable cybersecurity directions, CERT-In requirements, court orders, law enforcement requests or statutory obligations.
25. Suspension, Restriction and Termination
Platform action
Koovira may warn, restrict, suspend, disable, terminate, block, de-rank, de-list, remove or limit accounts, content, listings, services, payments, API access or features for breach of these Terms, legal risk, fraud, abuse, non-payment, unsafe conduct, security concerns or regulatory requirements.
Effect of termination
Upon termination, your right to access the Platform may cease, but obligations relating to payments, disputes, indemnity, intellectual property, confidentiality, records, taxes, compliance and legal claims shall survive.
No waiver
Failure by Trishara Ventures LLP to act immediately against a breach does not waive its right to act later or pursue available remedies.
Legal hold
Koovira may retain, preserve or restrict account data, transaction data, communications and records where required for disputes, investigations, compliance, fraud prevention or lawful requests.
26. Limitation of Liability
No indirect liability
To the maximum extent permitted by law, Trishara Ventures LLP shall not be liable for indirect, incidental, special, punitive, exemplary or consequential damages, including loss of profits, data, goodwill, reputation, opportunity, business, expected savings or emotional distress.
Third-party conduct
Trishara Ventures LLP is not responsible for acts, omissions, fraud, negligence, misconduct, quality failure, delivery failure, service failure, unsafe conduct, listing inaccuracies or representations of users, merchants, service providers, partners or third parties.
Intermediary status
Where applicable, Koovira operates as an intermediary, technology platform, marketplace operator, listing service, communication facilitator, aggregation platform or discovery service and shall be entitled to protections available under applicable intermediary laws, subject to compliance with legal requirements.
Platform role
Where Koovira acts as an intermediary, marketplace, listing platform, aggregator or technology facilitator, liability shall be limited according to applicable law and platform role.
Maximum liability
Where liability cannot be excluded, Trishara Ventures LLP’s aggregate liability shall be limited to the amount paid by the user to Trishara Ventures LLP for the specific disputed transaction, unless otherwise required by law.
27. Indemnity
User indemnity
You agree to indemnify, defend and hold harmless Trishara Ventures LLP, its directors, officers, employees, contractors, affiliates, partners and agents from claims, losses, damages, penalties, liabilities, costs and expenses arising from your use of the Platform, breach of these Terms, violation of law, infringement of rights, fraud, misconduct, tax default, false representations or third-party claims.
Business users
Merchants, sellers, service providers and partners shall indemnify Trishara Ventures LLP for claims relating to products, services, staff, delivery, taxes, invoices, warranties, safety, licensing, customer disputes, data misuse and regulatory non-compliance.
Recovery
Trishara Ventures LLP may recover amounts due from wallet balance, settlements, credits, pending payouts, invoices or other amounts payable to the user, to the extent permitted by law and platform policy.
28. Grievance Redressal, Takedown and Legal Requests
Grievance contact
Users may submit complaints, notices, privacy requests, content objections, intellectual property complaints, safety concerns or legal concerns at support@koovira.com.
Address

Complaint handling
Koovira will handle grievances according to applicable law, platform process, available evidence and complaint nature. Under applicable intermediary rules, grievance mechanisms may require acknowledgement and resolution within prescribed timelines.
Takedown requests
Requests relating to unlawful content, privacy violation, impersonation, intellectual property infringement, child safety, sexual content, fraud, court orders or legal violations may be prioritized according to law and risk.
Legal requests
Koovira may disclose information, preserve records, restrict access, suspend accounts, remove content or take action in response to valid court orders, government orders, law enforcement requests, CERT-In directions, regulatory notices or statutory obligations.
29. Force Majeure
Events beyond control
Trishara Ventures LLP shall not be liable for delay, failure, loss or interruption caused by events beyond reasonable control, including natural disasters, fire, flood, epidemic, pandemic, war, riots, strikes, government restrictions, internet failure, telecom failure, payment gateway failure, cyberattacks, data center outage, fuel crisis, transport disruption, platform dependency failure, third-party failure or acts of God.
30. Amendments to Terms
Updates
Trishara Ventures LLP may amend, update, replace, supplement or modify these Terms, policies, module rules, fees, features and operating procedures at any time.
Notice
Material changes may be notified through the Platform, email, SMS, dashboard notice, in-app notice, updated effective date or other reasonable communication channels.
Continued use
Continued use of Koovira after changes are published constitutes acceptance of revised Terms. Users who do not agree must stop using the Platform.
31. Governing Law, Arbitration and Jurisdiction
Governing law
These Terms shall be governed by and interpreted in accordance with the laws of India.
Amicable resolution
Parties shall first attempt to resolve disputes amicably through written communication and platform-level dispute handling where applicable.
Arbitration
Any unresolved dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed in accordance with law. Proceedings may be conducted in English unless otherwise agreed.
Individual claims
To the extent permitted by law, disputes shall be pursued on an individual basis and not as part of any class action, representative action or consolidated proceeding.
Court jurisdiction
Subject to arbitration and applicable law, courts located in Navi Mumbai, Maharashtra, India shall have exclusive jurisdiction.
32. Miscellaneous Legal Provisions
Severability
If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.
Assignment
Trishara Ventures LLP may assign, transfer or restructure its rights and obligations in connection with business transfer, merger, acquisition, reorganization, investment, restructuring or operational requirement.
No partnership
Use of the Platform does not create employment, agency, partnership, joint venture, franchise, fiduciary or representative relationship unless expressly agreed in writing.
Entire agreement
These Terms, along with incorporated policies and module-specific rules, constitute the entire agreement between the user and Trishara Ventures LLP regarding Platform use.
Supplementary policies
Users acknowledge that services, modules and business models may evolve over time and that supplementary policies, operational guidelines, merchant agreements, partner agreements and module-specific terms may apply in addition to these Terms.
Survival
Clauses relating to payments, disputes, data retention, intellectual property, confidentiality, limitation of liability, indemnity, governing law, jurisdiction, taxes, records and compliance shall survive suspension or termination.
These Terms & Conditions are intended to align with the legal and compliance framework applicable in India, including the Information Technology Act, 2000, Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 as amended, Digital Personal Data Protection Act, 2023, Consumer Protection Act, 2019, Consumer Protection (E-Commerce) Rules, 2020, Indian Contract Act, 1872, Copyright Act, 1957, Trade Marks Act, 1999, CERT-In directions, applicable tax laws, payment rules and other applicable laws. This document should be reviewed by a qualified legal professional before publication or enforcement.

Sign in with Koovira (Identity Provider)
Koovira operates its own "Sign in with Koovira" identity service (OAuth 2.0 / OpenID Connect). When you authorise a third-party application to sign you in with your Koovira account, you control which profile and which basic details are shared on the consent screen. You may revoke any connected application at any time from your account settings.
Three independent profiles
Your account may hold up to three permanently separated profiles — Social, Professional and Dating. Activity, audience and visibility are isolated per profile and are never merged. Choosing your active profile determines who can see what you post.
Business / Merchant accounts
A Merchant (business) presence is operated through your Professional profile. One account maps to one company; one company PAN maps to one company record until it is disabled or deactivated by its owner. A company may run multiple business modules, each treated as a separate business entity with its own sub-users, while the Professional owner acts as super-administrator across them.
Merchant Marketing & Contact Data
If you are a merchant using Koovira's marketing tools (contact import, email or WhatsApp campaigns, templates and module wallets), the following apply:
Consent & lawful basis. You may only import and message contacts for whom you have a lawful basis and, where required, valid consent to be contacted for marketing, in line with the Digital Personal Data Protection Act, 2023 and other applicable law. Do not upload purchased, rented or scraped lists.
You are the data fiduciary. For contacts you upload, you decide the purpose and remain responsible for them; Koovira processes that data on your behalf to deliver the campaigns you send. Contacts are kept in a single deduplicated list per business and are never sold.
Unsubscribe & suppression. Every marketing email carries an unsubscribe link. Koovira automatically suppresses unsubscribed and complained contacts, and you must not attempt to bypass these controls.
Google & imported contacts. Google contact access uses Google's official consent-based authorisation and is used only to let you import contacts you choose. Uploaded files (CSV/Excel) are processed to create your contact list and are not used for any other purpose.
Wallets & charges. Paid marketing (per-message email/WhatsApp fees, promotions) is charged from your module wallet, which is funded from your Company Wallet and ring-fenced per module. Fees are shown before you send and are non-refundable once a campaign is dispatched.
Prohibited use. No spam, unlawful, misleading, or prohibited-category content, and no messaging that violates platform, telecom (TRAI/DLT) or messaging-provider (e.g. WhatsApp Business) rules. Koovira may suspend marketing for breaches.
